1. Who we are and this agreement
NartPay OS (the "Service") is provided by CUMHUR YILMAZ, a sole proprietor trading as NartPay, registered in the Republic of Türkiye (Turkish tax ID 9680884509), with a registered business address at Yenikent Mah., Gizem Sk., B Blok No: 21/3B, İç Kapı No: 33, Derince, Kocaeli, Türkiye ("NartPay", "we", "us"). We are not a US company. These Terms of Service, together with the Privacy Policy, the Data Processing Addendum, the Acceptable Use Policy and the Refund Policy (all linked below and incorporated by reference), form the agreement (the "Agreement") between us and the business that creates or uses a workspace ("Customer", "you"). By clicking to accept, creating an account or using the Service you accept the Agreement. You confirm that you are at least 18 years old and authorized to bind the business you represent. If you do not agree, do not use the Service.
2. Business use only
The Service is offered for business purposes to businesses, not to consumers for personal, family or household use. You must provide accurate account information and keep it current, keep passwords and two-factor codes confidential, and you are responsible for all activity in your workspace, including by the users you invite. Tell us promptly about any unauthorized use. We are not responsible for losses caused by credentials you or your users disclose or fail to protect.
3. Trial, subscription and automatic renewal
New workspaces may start with a free trial; no payment method is needed for the trial and it does not convert into a paid plan on its own. Paid plans are billed in advance in US dollars for the period you choose (monthly or yearly). YOUR SUBSCRIPTION RENEWS AUTOMATICALLY FOR THE SAME PERIOD AT THE THEN-CURRENT PRICE, AND YOU AUTHORIZE THE RECURRING CHARGE, UNTIL YOU CANCEL. You can cancel at any time in Settings → Billing & plan; cancellation takes effect at the end of the paid period and you keep access until then. We remind you by e-mail before yearly renewals and before monthly renewals. We will give at least 30 days' notice by e-mail before a price increase applies to you. Refunds are governed by the Refund Policy. Fees are non-cancellable and, except as stated in the Refund Policy or required by law, non-refundable.
4. Online orders through Paddle
Online orders are processed by our online reseller Paddle.com Market Limited ("Paddle"), which is the merchant of record for your order. Paddle's Buyer Terms apply to the purchase, Paddle collects payment and any applicable sales tax, VAT or GST, issues the receipt or invoice for the order and handles payment inquiries and refunds. We never see or store your full card details. If a payment fails, Paddle may retry it; if it remains unpaid, we may limit the workspace to read-only access after reminding you, until payment is made. If you dispute a charge with your bank or card issuer without first contacting us or Paddle, we may suspend the workspace while the dispute is open.
5. Promotional offers
Promotional offers (such as founding-customer bonus months or free extra users) apply only under their published conditions, to paid subscriptions made in our live payment system, while limited quantities last, and once per business. Places are allocated in the order payments are confirmed in our records, which are final. Bonus periods extend the paid service period only; they have no cash value, cannot be transferred, exchanged or paid out, and end if the qualifying payment is refunded or charged back. We may refuse or withdraw an offer obtained by abuse, multiple accounts or false information, and we may change or end an offer for new orders at any time without affecting offers already granted.
6. Taxes
Prices are shown without tax. For orders processed by Paddle, Paddle calculates and collects applicable taxes based on your location and the details you provide, and shows them at checkout and on your receipt. For any other order, you are responsible for any sales, use, value-added, withholding or similar taxes, other than taxes on our income; where we are required to collect a tax, it will be shown on the invoice. If you must withhold tax from a payment, you will increase the payment so that the full amount invoiced is received. You are responsible for providing a correct business address and tax identification.
7. Your data
You own the data you and your users enter or upload ("Customer Data"). You give us a limited, worldwide permission to host, copy, process, transmit, display and back up Customer Data only to provide, secure and support the Service, and as required by law. We process personal information contained in Customer Data as your service provider under the Data Processing Addendum. You can export your data at any time while your account is active. You are responsible for the accuracy, quality and legality of Customer Data, for having all rights, consents and notices needed to give it to us, and for keeping your own copies of records you are legally required to retain. We may use aggregated and de-identified information that does not identify you, your users or any person to operate, secure and improve the Service.
8. Our service and intellectual property
We and our licensors own the Service, including the software, design, documentation, templates and our trademarks, and all rights not expressly granted are reserved. Subject to the Agreement and payment of fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service for your internal business purposes during your subscription. You may not copy, modify, resell, rent, sublicense, frame or reverse engineer the Service (except to the extent the law allows despite this restriction), remove proprietary notices, access it to build a competing product, or benchmark it for publication without our written consent. If you send us suggestions or feedback, we may use them freely and without obligation to you.
9. Acceptable use
You and your users must follow the Acceptable Use Policy. In short: no unlawful, fraudulent or infringing use, no spam through invoice or reminder e-mails, no attempts to access other customers' data or to test, probe or overload the Service. We may suspend access that puts the Service, other customers or third parties at risk, and we will tell you why unless the law or security prevents it.
10. Not financial, tax or legal advice; your compliance
NartPay OS is record-keeping and workflow software. It does not hold or move money, file taxes, run payroll, or provide accounting, tax or legal advice. Calculations, reports, sales tax summaries, 1099 tracking, reminders, late fees, templates and similar features are tools based on the data and settings you provide; you remain solely responsible for checking them and for your invoices, filings, payments, contracts, collection practices and compliance with the laws that apply to your business. Features that connect to third-party services (for example payment, e-mail or banking providers) are subject to those providers' terms and availability, and we are not responsible for third-party services.
11. Support access
Our staff do not look at your business records. If you turn on support access in your settings, authorized support staff can see a limited, read-only summary of your workspace until the time you choose. Every such view is recorded in your audit log.
12. Confidentiality
Each party will keep the other party's non-public information confidential, use it only for the purposes of the Agreement and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, already known, independently developed or rightfully received from someone else, or that must be disclosed by law (with prompt notice where lawful).
13. Availability and changes to the Service
We work to keep the Service available and secure but do not promise uninterrupted or error-free operation or any particular uptime; maintenance, failures of third-party providers and events outside our control can cause interruptions. We may improve, change or retire features. If a change materially reduces the paid Service, you may cancel and receive a pro-rata refund of prepaid fees for the unused period, which is your sole remedy for that change. Free trials and features labelled beta or preview are provided as they are, without any commitment, and may change or end.
14. Changes to this Agreement
We may update the documents in the Agreement. We will announce material changes in the Service and by e-mail at least 30 days before they take effect, except where a change is required by law or concerns security or new features, in which case it may apply sooner. You will be asked to accept updated documents before continuing to use the Service. If you do not agree, you may cancel before the change takes effect; continued use after that date means you accept the change.
15. Suspension, termination and your data afterwards
You may stop using the Service and close your account at any time. We may suspend or terminate the Agreement: for non-payment after reminder; for a material breach not cured within 15 days of notice; immediately for serious misuse under the Acceptable Use Policy, fraud, or risk to the Service or others; to comply with law or a government request; or for any reason with 30 days' notice, in which case we refund prepaid fees for the unused period. After closure we keep Customer Data for 60 days so you can ask for an export, then delete it from our active systems; backup copies are overwritten in the normal backup cycle. We may keep limited records (such as invoices to you, acceptance records and security logs) where the law requires or allows. Sections that by their nature should survive (including fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification and disputes) survive termination.
16. Warranty disclaimer
EXCEPT AS EXPRESSLY STATED IN THE AGREEMENT, THE SERVICE AND ALL CONTENT, TEMPLATES AND CALCULATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE", AND TO THE FULLEST EXTENT PERMITTED BY LAW WE AND OUR SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE OR THAT DATA WILL NOT BE LOST.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND EVEN IF ADVISED OF THEIR POSSIBILITY; (B) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT IS LIMITED TO THE GREATER OF THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND US$100; AND (C) DURING A FREE TRIAL OR FOR FREE FEATURES, OUR TOTAL LIABILITY IS LIMITED TO US$100. THESE LIMITS APPLY TO ALL CLAIMS TOGETHER, WHETHER IN CONTRACT, TORT OR OTHERWISE, AND DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, TO A PARTY'S FRAUD OR WILFUL MISCONDUCT, TO YOUR BREACH OF THE ACCEPTABLE USE POLICY OR TO YOUR INDEMNITY OBLIGATIONS. THE FEES REFLECT THIS ALLOCATION OF RISK.
18. Indemnification
You will defend, indemnify and hold harmless us and our personnel, contractors and suppliers against third-party claims, and resulting losses, fines, settlements and reasonable costs (including legal fees), arising from Customer Data, your or your users' use of the Service, invoices, e-mails or documents you send through it, your breach of the Agreement or the Acceptable Use Policy, or your violation of law or third-party rights. We will defend you against third-party claims that the Service, as we provide it, infringes a US patent, copyright or trademark, and pay resulting damages finally awarded or agreed in settlement, except for claims caused by Customer Data, modifications or combinations not provided by us, or use in breach of the Agreement; we may instead modify the Service to avoid infringement or end the affected subscription and refund prepaid fees for the unused period. The indemnified party must give prompt notice, reasonable cooperation and control of the defense; no settlement may impose obligations on the indemnified party without its consent.
19. Governing law and disputes
The Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules; the United Nations Convention on Contracts for the International Sale of Goods does not apply. Before starting a formal proceeding, the parties will try in good faith for 30 days to resolve the dispute after written notice (to us at info@nartpayglobal.com). Any dispute that is not resolved will be finally settled by binding arbitration administered by the International Centre for Dispute Resolution (ICDR) of the American Arbitration Association under its International Arbitration Rules, by one arbitrator, in English. The seat of arbitration is New York, New York, United States; hearings may be held by video conference. Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in a small-claims court, and either party may ask a court for urgent injunctive relief to protect its intellectual property or confidential information, and we may bring an action to collect unpaid fees in any competent court. CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING, AND EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. To the extent the law allows, any claim must be brought within one year after it arises, or it is permanently barred.
20. International provision, export and sanctions
The Service is operated from the Republic of Türkiye. Customer Data is hosted in Canada and may be accessed from the Republic of Türkiye and by our service providers in the countries listed in the Privacy Policy, under the safeguards described there and in the Data Processing Addendum. You will comply with US and other applicable export control and sanctions laws, and you confirm that you are not located in, or owned or controlled by persons in, a country or on a list subject to comprehensive US, EU, UK or UN sanctions. We may end access immediately if this is not true.
21. General
The Agreement is the entire agreement about its subject and replaces earlier discussions; terms in your purchase orders or other documents do not apply. If documents conflict, the Data Processing Addendum prevails for personal information, then these Terms, then the other policies. You may not assign the Agreement without our consent; we may assign it to an affiliate or to a successor in a merger, acquisition, reorganization or sale of the business or related assets, with notice to you. Neither party is liable for delays or failures caused by events beyond its reasonable control (for example natural disasters, war, terrorism, labor actions, government acts, internet, hosting or power failures, or attacks on networks). If a provision is unenforceable, it will be applied to the maximum extent allowed and the rest remains in effect; failing to enforce a provision is not a waiver. The parties are independent contractors and there are no third-party beneficiaries. Notices to you are sent to the account owner's e-mail address; notices to us go to info@nartpayglobal.com. You agree to receive communications electronically and that the Agreement may be accepted electronically. Headings are for convenience only, and "including" means "including without limitation". The English version of the Agreement controls over any translation.
